Payment is due in full by the Due Date specified above. Unless otherwise agreed in writing, invoices unpaid after the Due Date shall accrue interest at the rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is less. A late fee of $25 will be charged for each invoice past due more than 30 days.

All management fees and charges invoiced herein are due and payable notwithstanding any claim by the Client with respect to services performed. Client shall be responsible for reasonable collection costs, including attorneys' fees, court costs, and related expenses incurred by Manager in enforcing payment.

Fees shown do not include sales, use, value-added or other transactional taxes unless specifically stated. Any such taxes assessed by governmental authorities shall be paid by Client in addition to the invoice amounts.

Disputes concerning billed items must be submitted in writing within fifteen (15) days of the Invoice Date. Submission of a dispute does not relieve Client of the obligation to pay undisputed amounts in accordance with the Payment Terms. Manager reserves the right to suspend or terminate services for non-payment.

Client agrees to indemnify, defend and hold harmless Manager and its affiliates from and against any losses, claims, damages or expenses arising from Client's breach of this invoice or from Client-provided information or directives. Manager's liability for any claim arising from services shall not exceed the amount paid by Client to Manager under this invoice for the applicable services.
