MANAGEMENT REVIEW DOCUMENT

This Management Review Document and Services Agreement (the Agreement) is entered into by and between Company Name: and Reviewer Name: (collectively, the Parties), effective as of .

RECITALS

WHEREAS, Company Name seeks an independent management review of its operational controls, risk posture, compliance with internal policies, and opportunities for continual improvement; and

WHEREAS, Reviewer Name possesses the requisite expertise to perform a structured management review and to produce findings, recommendations, and an action plan; and

WHEREAS, the Parties desire to set forth the scope, deliverables, payment terms, confidentiality obligations, term and termination rights, and other material terms governing the performance of the management review.

SCOPE OF WORK

Deliverables to be provided by Reviewer include: a written Management Review Report summarizing observations and findings, an Action Plan listing corrective and improvement actions with assigned responsibilities and due dates, and a presentation to executive management as requested.

PAYMENT TERMS

Overdue amounts shall accrue interest at the lesser of a rate of or the maximum rate permitted by applicable law. Company shall reimburse Reviewer for reasonable collection costs and legal fees incurred to recover unpaid fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and remain in effect until End Date: unless earlier terminated as provided below.

Either Party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Termination for material breach shall be effective upon written notice if the breaching party fails to cure such breach within thirty (30) days following receipt of written notice specifying the breach.

CONFIDENTIALITY

The Parties acknowledge that in the course of the management review each may disclose Confidential Information. "Confidential Information" means non-public business, operational, financial, technical, and other information disclosed in any form that a reasonable person would understand to be confidential. Each Party shall: (a) maintain Confidential Information in strict confidence; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) restrict disclosure to employees and agents with a need to know who are bound by confidentiality obligations at least as protective as those set forth herein.

Confidential Information shall not include information that: (i) is or becomes publicly known through no breach of this Agreement; (ii) is already lawfully in the receiving Party's possession; (iii) is independently developed by the receiving Party; or (iv) is rightfully obtained from a third party without restriction.

GOVERNING LAW; ENTIRE AGREEMENT

Any dispute arising under or related to this Agreement shall be subject to the exclusive jurisdiction of the courts located in that State, unless the Parties agree otherwise in writing.

This Agreement, together with any appendices, schedules, and attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both Parties.
