This Manager Authorization Consent Form (the Agreement) is entered into as of Effective Date: by and between Principal Name: (Principal) and Manager Name: (Manager).

WHEREAS

WHEREAS, Principal is a legal entity or individual requiring managerial services and limited authority to act on its behalf; and

WHEREAS, Manager represents that Manager has the experience, authority, and capacity to perform the services and to undertake the limited powers set forth in this Agreement; and

WHEREAS, Principal wishes to grant Manager specified authorities for the period and on the terms described below, and Manager consents to accept such authorities subject to the terms of this Agreement.

SCOPE OF WORK

Principal hereby authorizes Manager to perform the following services, duties and functions on behalf of Principal. Manager shall act only within the scope described below and shall exercise reasonable care and due diligence in performing the authorized activities.

Sign contracts on behalf of Principal Access financial accounts limited to operational transactions Hire and terminate non-executive personnel Communicate with legal counsel and government entities as expressly authorized

PAYMENT TERMS

In consideration for the services provided by Manager, Principal will pay compensation in accordance with the terms set forth below. All amounts are payable in U.S. dollars unless otherwise stated.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause by delivering written notice to the other party at least days prior to the effective termination date. Principal may terminate immediately for material breach by Manager, including but not limited to misuse of authority, willful misconduct, or material violation of confidentiality obligations.

CONFIDENTIALITY

Manager shall hold in strict confidence all non-public information obtained from Principal in connection with the performance of duties under this Agreement, and shall not disclose such information except as required by law or as expressly authorized in writing by Principal. Confidential information includes, without limitation, financial data, customer lists, pricing strategies, trade secrets and operational methods.

Upon termination or expiration of this Agreement, Manager shall promptly return or destroy all Confidential Information and certify in writing that all copies have been returned or destroyed.

Manager acknowledges and agrees to the confidentiality obligations set forth above.

COMPLIANCE; REPRESENTATIONS

Manager represents and warrants that Manager is authorized to perform the services described herein, that the performance of such services will not violate any agreement to which Manager is a party, and that Manager will comply with all applicable laws, rules and regulations in carrying out Manager's duties.

INDEMNIFICATION

Manager shall indemnify and hold Principal harmless from and against any losses, claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of Manager's gross negligence, willful misconduct, or material breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between Principal and Manager with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. Any modification to this Agreement must be in writing and signed by both parties.
