MANUFACTURER DECLARATION FORM

This Manufacturer Declaration Form (the "Declaration") is made by Manufacturer Name: whose principal place of business is (the "Manufacturer"), in favor of Recipient Name: whose principal place of business is (the "Recipient").

RECITALS

WHEREAS, the Recipient requires a written declaration from the Manufacturer relating to the manufacture, conformity, testing and traceability of certain products supplied to the Recipient; and

WHEREAS, the Manufacturer is the entity that designs, produces and tests the products described below and is capable of providing binding representations and records regarding those products; and

WHEREAS, the parties desire that the Manufacturer provide this Declaration to evidence compliance with specified requirements, to allocate responsibilities, and to permit the Recipient to rely on such representations for regulatory, safety, procurement, or resale purposes.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the Manufacturer hereby declares and agrees as follows.

1. DEFINITIONS

For purposes of this Declaration, the following terms have the meanings set forth below:

"Product" means the goods described in Section 3 below. "Standards" means the specified specifications, industry standards, safety directives, or regulatory requirements identified in Section 5. "Batch" or "Lot" means the identified manufacturing run for the Product.

2. MANUFACTURER DECLARATION

The Manufacturer represents, warrants and certifies, under penalties of perjury and to the best of its knowledge, that the Products described below were manufactured in accordance with the Manufacturer's documented procedures, applicable quality management systems, and the Standards specified in this Declaration, and that the Manufacturer maintains records supporting these representations.

The Manufacturer shall maintain manufacturing, inspection, test and distribution records sufficient to trace the Product from component to finished good and shall retain such records for a minimum period of years from the date of manufacture.

Upon reasonable request by the Recipient or its authorized representative, the Manufacturer shall provide copies or access to such records, subject to the confidentiality terms of this Declaration.

7. REPRESENTATIONS AND WARRANTIES

The Manufacturer represents and warrants that: (a) it has the full corporate authority to make this Declaration; (b) the Products conform to the representations in Section 5; (c) the Products when delivered to the Recipient will be free from defects in material and workmanship and will be manufactured in accordance with applicable laws and the Manufacturer's quality procedures.

8. INDEMNIFICATION

The Manufacturer shall indemnify, defend and hold harmless the Recipient and its officers, directors and affiliates from and against any loss, liability, damage, cost or expense (including reasonable attorneys' fees) arising out of or resulting from a breach of the representations, warranties or obligations set forth in this Declaration, including claims based on product defect, noncompliance with applicable Standards, or false certification.

9. CONFIDENTIALITY

Each party shall hold in confidence the non-public information disclosed in connection with this Declaration and shall not disclose such information to third parties except as required by law or as necessary to enforce the rights or obligations arising under this Declaration. Records provided in response to traceability or audit requests shall be treated as confidential.

10. LIMITATION OF LIABILITY

Except for Manufacturer's indemnification obligations for personal injury, death, or willful misconduct, the Manufacturer's liability under this Declaration shall be limited to direct damages and shall not exceed the purchase price paid to the Manufacturer for the specific Product giving rise to the claim.

11. NOTICES

All notices required under this Declaration shall be in writing and delivered to the addresses set forth below (or such other address as either party may designate by written notice).

12. TERM AND TERMINATION

This Declaration shall be effective as of the date of the last signature below and shall remain in effect for the period necessary to satisfy the record retention obligations set forth herein or until terminated by mutual written agreement. Either party may terminate this Declaration for material breach by the other party if such breach remains uncured thirty (30) days after written notice.

13. AMENDMENTS; WAIVER

No modification, amendment or waiver of any provision of this Declaration will be effective unless in writing and signed by both parties. No failure or delay by either party in exercising any right will operate as a waiver.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Declaration shall be governed by and construed in accordance with the laws of the jurisdiction specified by the Recipient below, without regard to conflict of laws principles.

This Declaration constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings. If any provision of this Declaration is held invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.

15. COUNTERPARTS

This Declaration may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Electronic or scanned signatures shall have the same force and effect as original signatures.
