WHEREAS, Manufacturer represents that it owns and operates facilities, equipment and staff with the technical capacity to perform the required manufacturing services in accordance with Client specifications and applicable law; and

WHEREAS, the parties desire to record the manufacturing information, terms of production, payment, confidentiality obligations and governing law in this Agreement.

Either party may terminate for convenience upon days' written notice. Termination for material breach is immediate upon written notice if the breaching party fails to cure within days of receipt of notice.

Confidentiality

Each party shall maintain in confidence all non-public technical, commercial and business information disclosed by the other party in connection with this Agreement. Confidential information shall not include information that is (i) already known without restriction to the receiving party, (ii) publicly available through no breach by the receiving party, or (iii) independently developed without use of the disclosing party's confidential information. The receiving party shall use confidential information solely to perform its obligations under this Agreement and shall take reasonable precautions to prevent unauthorized disclosure, at least equal to those it uses to protect its own confidential information but not less than reasonable care.

Intellectual Property; Warranty

All designs, tooling specifications, drawings and other intellectual property provided by Client remain Client property. Manufacturer is granted a limited license to use such materials solely to perform production obligations. Manufacturer warrants that products produced will conform to Client specifications and shall be free from defects in material and workmanship for a period of months from shipment. Remedies for breach of warranty shall be limited to repair or replacement at Manufacturer's expense, or refund of the purchase price where repair or replacement is not commercially reasonable.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or infringement of intellectual property, the parties' aggregate liability under this Agreement shall not exceed the total amounts paid by Client to Manufacturer under the specific purchase order giving rise to the claim within the twelve months preceding the claim.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. This Agreement, together with any purchase orders executed pursuant hereto, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

Notices required under this Agreement shall be given in writing to the addresses set forth below for the parties or to such other address as either party shall designate by notice in accordance with this paragraph.
