RECITALS

WHEREAS, Party A and Party B desire to engage collaboratively in trading, financing or other margin-utilizing activities (the Activities) and to set forth the terms under which margin will be contributed, profits calculated and distributed, and losses allocated; and

WHEREAS, Party A will provide margin capital and Party B will perform trading and execution services, or vice versa as designated below, and the Parties wish to allocate Net Profits and losses according to the terms of this Agreement; and

WHEREAS, the Parties intend that distributions of Profits shall be made in accordance with an agreed waterfall, after deduction of allowable expenses and the return of contributed margin capital as set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the Parties agree as follows:

1. DEFINITIONS

1.1 "Margin" means the cash, pledged securities, or other collateral contributed by a Party to fund the Activities. Margin contributed by Party A: . Margin contributed by Party B: .

1.2 "Gross Profits" means all realized profits from Transactions attributable to the Activities before expenses, fees, charges and reserves. 1.3 "Net Profits" means Gross Profits less all reasonable and documented fees, commissions, financing charges, margin interest and other expenses directly attributable to the Activities.

2. MARGIN CONTRIBUTION; CAPITAL ACCOUNTS

2.1 Each Party shall deliver its Margin to the designated custodial account or broker specified in writing. The initial contribution schedule and amounts shall be recorded in the Parties' books. Date of Party A contribution: . Date of Party B contribution: .

2.2 The Parties shall maintain separate capital accounts reflecting Margin contributions, allocated profits and losses, withdrawals and distributions. All contributions shall be accompanied by documentation sufficient to permit independent verification.

3. PROFIT SHARING; PERCENTAGES

3.1 Subject to the priority provisions in Section 4, Net Profits for each Calculation Period shall be allocated and distributed as follows: Party A: ; Party B: . The Parties acknowledge that percentages sum to 100% and agree to notify the other Party in writing of any change.

3.2 Profit allocations shall be made after (a) the return of any Margin capital to the contributing Party; and (b) deduction of all allowable expenses, reserve requirements and applicable taxes. Priority and waterfall provisions may be modified only by written amendment signed by both Parties.

4. CALCULATION METHODOLOGY

4.1 Net Profits shall be calculated in accordance with generally accepted accounting principles consistently applied and shall include realized gains and losses only; unrealized positions shall be treated as provided in a written policy agreed by the Parties.

4.2 Allowable deductions shall include trading commissions, exchange fees, clearing fees, interest on borrowed funds used for margin, and reasonable third-party service charges. Disputed items must be identified within thirty (30) days following delivery of the calculation statement or will be deemed waived.

5. DISTRIBUTIONS; TIMING

6. MARGIN CALLS; ADJUSTMENTS

6.1 If the custodial margin position requires additional collateral or a reduction of open positions, the Parties shall fund a pro rata margin call within business days based on their respective capital accounts unless otherwise mutually agreed in writing.

6.2 Failure to meet a margin call may result in forced liquidation and allocation of resulting losses in accordance with Section 7 and the Parties' respective contributions.

7. BOOKS, RECORDS AND AUDIT RIGHTS

7.1 The managing Party shall maintain true and complete books and records relating to the Activities and shall provide each Party with periodic statements detailing all Transactions, fees, expenses and the calculation of Net Profits. Each Party shall have the right, at its expense, to audit such books upon reasonable prior written notice during normal business hours.

8. REPRESENTATIONS AND WARRANTIES

8.1 Each Party represents and warrants to the other that: (a) it has full power and authority to enter into this Agreement and to perform its obligations hereunder; (b) it is not subject to any legal restriction or contractual obligation that would prevent performance; and (c) all information provided to the other Party in connection with this Agreement is, to the best of its knowledge, true, complete and not misleading.

9. COVENANTS

9.1 Each Party covenants to comply with all applicable laws and regulations in connection with its performance under this Agreement and to exercise reasonable care in executing Transactions and managing risk.

10. TERM AND TERMINATION

10.1 This Agreement shall commence on the Effective Date and continue until terminated by mutual written agreement or by either Party upon days' prior written notice. Termination shall not affect accrued rights or liabilities.

11. INDEMNIFICATION

11.1 Each Party shall indemnify, defend and hold harmless the other Party from and against any and all claims, losses, liabilities, costs and expenses (including reasonable attorney fees) arising from the indemnifying Party's breach of this Agreement, negligence, wilful misconduct or violation of law in connection with the Activities.

12. CONFIDENTIALITY

12.1 Each Party shall keep confidential all proprietary or non-public information received from the other Party in connection with the Activities and shall not disclose such information except: (a) as required by law or regulation; (b) to the Party's professional advisors on a confidential basis; or (c) with the disclosing Party's prior written consent. Confidential obligations survive termination for a period of three (3) years.

13. NOTICES

13.1 All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a Party may designate by notice):

14. AMENDMENTS; WAIVER; COUNTERPARTS

14.1 No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties. The failure by a Party to insist upon strict performance of any provision shall not constitute a waiver of that provision. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

15. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

15.1 This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of laws principles.

15.2 This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. If any provision of this Agreement is adjudicated to be invalid or unenforceable, such provision shall be reformed to the minimum extent necessary and the remaining provisions shall remain in full force and effect.

16. MISCELLANEOUS

16.1 Remedies provided in this Agreement are cumulative and not exclusive of any remedies provided by law. 16.2 Each Party shall execute and deliver such further documents and take such further actions as may be reasonably requested to carry out the intent of this Agreement.
