MARKET ASSESSMENT REPORT AND ENGAGEMENT AGREEMENT

WHEREAS

WHEREAS, Client seeks an independent, objective market assessment concerning the market conditions, competitive landscape, and demand projections for the business opportunity described below; and

WHEREAS, Consultant represents that it possesses the professional expertise, personnel, and resources to perform a market assessment and deliver the Deliverables specified herein; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows.

SCOPE OF WORK

Consultant shall perform a market assessment consisting of fact-based analysis, data collection, and written findings. The assessment shall address the market size, growth trends, customer segments, key competitors, pricing dynamics, distribution channels, and likely barriers to entry as described below.

CONFIDENTIALITY

"Confidential Information" means non-public business, financial, technical or strategic information disclosed by either party that is identified as confidential or would reasonably be considered confidential. Consultant shall hold Confidential Information in strict confidence and shall not disclose it to third parties except as required to perform the Services or as required by law. Consultant shall use Confidential Information solely to provide the Deliverables and shall implement reasonable safeguards at least as protective as those it uses to protect its own confidential materials.

Confidentiality obligations shall not apply to information that (a) is or becomes public through no fault of the recipient; (b) is lawfully received from a third party without restriction; or (c) is independently developed by the recipient without use of the disclosing party's Confidential Information. Upon request, Consultant shall return or destroy Confidential Information and certify such return or destruction.

LIMITATIONS, REPRESENTATIONS, AND DISCLAIMERS

Consultant represents that it will perform services in a professional and workmanlike manner in accordance with generally accepted industry practices. The Market Assessment Report is advisory in nature and is based on available information and reasonable assumptions. Consultant does not warrant or guarantee any specific business outcome, financial result, or future market performance. Client acknowledges that projections and forecasts involve uncertainties and that actual results may differ materially.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Venue for any dispute shall lie in the state or federal courts located within the same state unless the parties mutually agree otherwise in writing.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments and the Deliverables expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Consultant is an independent contractor and not an employee, agent, or partner of Client. Neither party may assign this Agreement without the prior written consent of the other except to a successor in interest in connection with a merger or sale of substantially all assets. If any provision is held invalid, the remaining provisions shall remain enforceable to the fullest extent permitted by law.

ACCEPTANCE

Client's written acceptance of Deliverables, or Client's payment in accordance with the Payment Terms following delivery, shall constitute acceptance for the purposes of this Agreement and authorization for Consultant to record the Deliverables as completed.
