MARKET CLEARANCE AGREEMENT

This Market Clearance Agreement (the Agreement) is entered into as of Effective Date: by and between Market Owner: and Vendor: .

RECITALS

WHEREAS, Market Owner operates a public or private marketplace known as: (the Market) and maintains policies and procedures governing the sale and removal of goods; and

WHEREAS, Vendor seeks authorization to clear, remove, relist, or otherwise manage identified goods or inventories described as: within the Market under the terms set forth herein; and

WHEREAS, the parties desire to set forth the terms and conditions by which the Market Owner will permit Vendor to conduct market clearance activity and to address allocation of fees, risk, confidentiality, and termination.

Any payment not received within days of its due date shall accrue interest at a rate of or the maximum rate permitted by law, whichever is lower. Vendor is responsible for all collection costs, including reasonable attorneys' fees.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Either party may terminate immediately for material breach by the other party if such breach is not cured within a commercially reasonable cure period not to exceed 15 days following written notice.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public, proprietary, or trade secret information disclosed by the other party in connection with performance under this Agreement ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes publicly known through no breach; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of the other party's Confidential Information; or (d) is required to be disclosed by law or court order, provided the disclosing party gives prompt notice and cooperates with any protective measures sought.

Upon termination or written request, the receiving party shall promptly return or certify destruction of Confidential Information, except that archival copies retained in a firm's backups or records for compliance purposes may be retained in accordance with internal retention policies but remain subject to the confidentiality obligations herein.

INDEMNIFICATION; INSURANCE

Vendor shall indemnify, defend and hold harmless Market Owner, its officers, agents and employees from and against all claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of Vendor's acts or omissions in connection with the clearance activities, except to the extent caused by Market Owner's gross negligence or willful misconduct.

Each party shall maintain commercial general liability insurance and any other coverage reasonably necessary for the performance of its obligations under this Agreement and shall provide evidence of such insurance upon request.

COMPLIANCE WITH LAWS

Each party shall comply with all applicable federal, state, and local laws, regulations and Market rules in performing its obligations. Vendor shall obtain and maintain any permits, licenses, or consents required to perform the scope of work.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , excluding its conflicts of law provisions.

ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. No amendment shall be effective except in a writing signed by both parties.

NOTICES

MISCELLANEOUS

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that monetary damages may be inadequate remedy for breach of confidentiality or other obligations and that injunctive relief may be awarded in addition to other remedies. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
