What a Market Data Services Agreement Covers

Market Data Services Agreement defines terms under which a provider supplies market data feeds, indices, analytics, licensing rights, redistribution limits, and permitted use to a customer. It typically covers data delivery methods, update frequency, pricing and payment, intellectual property ownership, data quality disclaimers, liability limitations, confidentiality, and termination rights. For financial firms, compliance with market access rules, data redistribution restrictions, and audit rights are commonly included. Parties should specify service levels, permitted users, and any third-party data sources. The agreement forms the primary legal framework governing access, use, and commercial terms for market data services.

Why a Clear Market Data Agreement Matters

Use a Market Data Services Agreement to allocate commercial rights, manage redistribution and compliance obligations, and set consistent service expectations. Clear terms reduce contractual disputes, limit liability exposure, and help firms meet regulatory and vendor licensing requirements across trading, research, and analytics workflows.

Why a Clear Market Data Agreement Matters

Typical Parties and Use Cases

Financial firms, data vendors, asset managers, exchanges, and analytics providers commonly use Market Data Services Agreements when licensing live feeds, reference data, or historical datasets.

  • Sell-side data vendors: define redistribution limits, pricing tiers, and permitted downstream use.
  • Buy-side institutions: secure feed access, SLAs, audit rights, and vendor indemnity protections.
  • Exchanges and index providers: license indices, trademark use, and data vendor reporting obligations.

Aligns operational, legal, and technical teams on usage permissions and compliance obligations for data consumers.

Intellectual Property
