MARKET RESEARCH TEMPLATE

This Market Research Agreement (the Agreement) is entered into as of Effective Date: between Client Name: and Contractor Name: .

WHEREAS

WHEREAS, Client requires market research, analysis and reporting regarding the market, competitive landscape and customer behavior for the Project; and

WHEREAS, Contractor represents that it has the expertise, personnel and resources necessary to perform the research and deliver the reports and other agreed deliverables in accordance with this Agreement; and

WHEREAS, the parties desire to set out their respective rights and obligations with respect to the performance, payment and use of the market research and related materials.

Project Identification

Scope of Work

Contractor shall perform market research services as described below and in any appended schedules. Deliverables shall include primary research where applicable, secondary research, data analysis, methodology documentation, executive summary and final report. The scope may include surveys, interviews, desk research, competitive benchmarking and data modeling as agreed.

Payment Terms

Client shall pay Contractor in consideration for the services and deliverables. Payment obligations are limited to the amounts and schedules set forth below and in any approved work orders.

Invoices are due within the payment terms above. Overdue amounts accrue interest at the agreed late fee. Client is responsible for any sales, use or similar taxes unless Contractor is required to collect such taxes.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate for material breach if the breaching party fails to cure the breach within the notice period. Client may terminate for convenience upon written notice to Contractor, provided Client pays Contractor for work performed and non-cancellable commitments incurred prior to termination.

Confidentiality

Each party may disclose Confidential Information to the other in connection with the performance of this Agreement. "Confidential Information" means non-public, proprietary or commercially sensitive information disclosed in any form. Recipient will (i) hold Confidential Information in strict confidence, (ii) use it only to perform its obligations or exercise its rights under this Agreement, and (iii) not disclose it to third parties except to personnel who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein.

Data Ownership and Use

Unless otherwise agreed in writing, Client shall own the raw data collected specifically for Client and all final reports prepared for Client. Contractor retains ownership of its pre-existing methodologies, templates and aggregated non-identifiable benchmarking data. Contractor grants Client a perpetual, non-exclusive, royalty-free license to use deliverables for Client's internal business purposes, subject to confidentiality and third-party data restrictions.

Contractor may use aggregated, anonymized findings derived from the engagement in Contractor's business development and marketing materials provided the use does not identify Client or contain Client Confidential Information.

Representations, Indemnity and Limitation of Liability

Each party represents that it has authority to enter this Agreement. Contractor represents that services will be performed in a professional and workmanlike manner consistent with industry standards. Contractor will indemnify and hold Client harmless from third-party claims arising from Contractor's breach of intellectual property warranties or gross negligence. Except for willful misconduct or indemnity obligations, neither party's aggregate liability shall exceed the total fees paid under this Agreement for the applicable project.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This Agreement, together with any attached schedules and accepted statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
