The Agency warrants that all paid posts, endorsements and sponsored content will be clearly and conspicuously disclosed consistent with applicable advertising and endorsement guidance. Agency will ensure required sponsor identification appears in each deliverable and will obtain Client approval of disclosure language prior to posting.

Agency acknowledges responsibility to include disclosure language in all deliverables and represents that disclosures will be accurate and conspicuous.

Exclusivity, Termination & Kill Fee

Termination: Either party may terminate for convenience upon days' written notice. For termination without cause after creative has been delivered, Client will pay a kill fee equal to or the remainder of fees due, whichever is greater.

Representations, Warranties & Indemnity

Agency represents and warrants that (i) it has the full right to create and license the Deliverables; (ii) Deliverables will not infringe third-party intellectual property rights; and (iii) all statements within content will be materially accurate. Agency will indemnify and hold Client harmless from losses arising from breach of these representations, subject to the limitations set forth below.

Limitation of Liability: Except for willful misconduct or indemnity obligations for IP infringement, neither party's aggregate liability for claims arising under this Agreement shall exceed the total fees paid under this Activation.

Reporting, Approvals & Change Orders

Change Orders: Any material change to scope, fees or schedule must be documented in a written change order signed by both parties specifying additional fees and adjusted delivery dates.

Confidentiality

Each party shall keep confidential all non-public information disclosed in connection with this Activation and shall not use such information except as necessary to perform obligations under this Agreement. Confidentiality obligations survive termination for a period of two years.

Miscellaneous
