MARKETING AD AGREEMENT

Ownership of final deliverables and any transfer of rights will be as provided in the License section. Agency warrants that deliverables will be original and that Agency has authority to grant the licensed rights. Brand shall provide credit or attribution as follows:

Agency represents and warrants that any paid promotion will prominently disclose the material connection between Brand and Agency in a manner consistent with applicable advertising standards and truthful representation. Agency will include clear disclosure language in each paid placement where required.

This Agreement commences on the effective date and continues for the term specified or until delivery of final materials, unless earlier terminated as provided below.

10. Confidentiality

Each party agrees to keep confidential proprietary information disclosed in connection with this Agreement for the period specified below and to use such information solely for performance under this Agreement.

11. Representations, Warranties & Indemnification

Each party represents that it has the authority to enter this Agreement. Agency warrants that deliverables will not infringe third-party rights. Each party shall indemnify the other for claims arising from breaches of representations, warranties, or misuse of materials.

12. Limitation of Liability

Except for willful misconduct or gross negligence, neither party will be liable for consequential, incidental, or punitive damages. Aggregate liability will not exceed the total fees paid by Brand under this Agreement.

13. Notices

Notices under this Agreement must be in writing and delivered to the addresses below by hand, courier, or certified mail.

14. Miscellaneous

This Agreement constitutes the entire agreement between the parties relating to the subject matter and supersedes prior agreements. Amendments must be in writing and signed by both parties. If any provision is held unenforceable, the remainder will remain in effect.
