Limitation of Liability and Indemnity: Each Party's liability arising from errors in reporting is limited to remediation by additional placements or pro rata credit, at Brand's election, except for willful misrepresentation. Agency shall indemnify Brand for third-party claims directly resulting from Agency's gross negligence in measurement or falsification of records.

Exclusivity: If the parties have agreed to exclusivity for the recorded board(s), any exclusive period and its terms should be set forth in the controlling campaign agreement. Where an exclusivity breach is evidenced by entries in this record, Brand may seek remedies provided in the controlling agreement, including stop-sell and kill fees.

Termination & Kill Fee: If Brand terminates placement(s) after confirmed scheduling, a kill fee may be due as set in the controlling agreement. This record may be used by either party as evidence of services performed for the purpose of assessing any applicable kill fee.
