Brand / Client will pay Agency / Creator the fees and reimbursements set forth below in consideration for the Services. Agency / Creator shall submit invoices with reasonable detail and supporting documentation for approved expenses.

Reporting, Access & Performance

Agency / Creator will be granted administrative or manager access to required advertising accounts and analytics platforms necessary to perform the Services. Brand / Client confirms authority to grant such access and will maintain credentials or permissions throughout the campaign term.

Optimization, Testing & Change Control

Agency / Creator retains the right to implement iterations and A/B tests consistent with the agreed strategy; material changes to creative, offers, or landing pages require Brand / Client approval unless otherwise specified in writing.

FTC Disclosure & Compliance

Both parties shall comply with all applicable advertising laws, rules and industry guidance, including clear and conspicuous disclosure of sponsored content and endorsements. Agency / Creator will incorporate required disclosure language where content is paid or incentivized.

Affirmation: Brand / Client and Agency / Creator each represent that they will ensure required disclosures are present, accurate and timely.

Exclusivity

During the Term, Brand / Client: requires exclusivity for the product category specified below. If checked, specify scope and exceptions:

Term, Termination & Kill Fee

The Agreement commences on the Campaign start date and continues until the Campaign end date unless earlier terminated in accordance with this Section.

Intellectual Property & License

Ownership and licensing of creative, copy, data and deliverables shall be governed by the selections below. Unless otherwise agreed in writing, parties agree as follows:

Brand / Client owns pre-existing trademarks and assets and grants Agency / Creator a limited, non-exclusive license to use such assets solely for performance of the Services. Agency / Creator retains ownership of templates, proprietary tools and methodologies. Delivery of final approved creative results in:

Confidentiality

Representations, Warranties & Indemnities

Each party represents and warrants that it has the authority to enter into this Agreement and will comply with applicable laws. Agency / Creator warrants that deliverables will not infringe third-party intellectual property rights. Brand / Client shall indemnify Agency / Creator for claims arising from Brand / Client materials and offers; Agency / Creator shall indemnify Brand / Client for claims arising from Agency / Creator gross negligence or willful misconduct.

Limitation of Liability

Except for willful misconduct or breaches of confidentiality, neither party's aggregate liability arising from this Agreement shall exceed the total fees paid by Brand / Client to Agency / Creator under this Agreement during the prior six-month period. Neither party shall be liable for consequential, incidental or punitive damages.

Data, Privacy & Tracking

Force Majeure

Neither party shall be liable for delays or failures due to causes beyond reasonable control, including acts of God, government action, strikes, or interruption of internet or platform services. Affected party shall promptly notify the other and use commercially reasonable efforts to resume performance.

Governing Law & Dispute Resolution

This Agreement is governed by the laws of the state identified below, without regard to choice-of-law principles. Parties will attempt to resolve disputes in good faith by escalation, then mediation, and if unresolved, by binding arbitration unless otherwise agreed in writing.

All notices required under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section or to such other address as either party may designate by notice to the other.

Miscellaneous

This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior agreements. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is held unenforceable, the remaining provisions remain in full force.
