Intellectual Property

Agency represents and warrants that it owns or has cleared all rights in the materials it provides and that use by Brand in accordance with this Order will not infringe third-party rights. Brand's pre-existing marks remain Brand's property.

If checked, Agency assigns to Brand all right, title and interest in delivered final creative subject to payment in full.

Representations, Warranties & Indemnity

Each party represents that it has authority to enter this Order. Agency warrants material accuracy of claims in creative and will indemnify Brand for third-party claims arising from Agency-provided materials, except to the extent such claims arise from Brand-provided materials or directions.

Confidentiality

Each party shall hold confidential any non-public business information disclosed in connection with this Order and shall not disclose such information except as required by law or with prior written consent of the disclosing party.

Governing Law

This Order shall be governed by the laws of the state stated below without regard to conflict of law rules. Parties submit to the exclusive jurisdiction of the courts of that state for disputes arising from this Order.

Acceptance
