COMPENSATION & AD SPEND

USAGE RIGHTS & INTELLECTUAL PROPERTY

Subject to full payment, Agency grants Client a non-exclusive/non-transferable (select below) license to use creative assets as specified. Ownership of underlying pre-existing intellectual property remains with the originating party unless otherwise assigned in writing.

FTC DISCLOSURE COMPLIANCE

Both parties acknowledge obligations under applicable advertising and promotional disclosure laws and guidance. Agency will advise on required disclosures for paid placements and sponsored content; Client is responsible for final approval of any endorsement language.

Client and Agency confirm: Parties will comply with required material disclosure, clear and conspicuous labeling of paid advertising, and will maintain appropriate records.

EXCLUSIVITY

Exclusivity (if any) shall be limited to the channels and territory set forth below. If exclusivity is granted, Client agrees to pay an exclusivity fee as set out herein.

TERMINATION & KILL FEE

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective termination date.

If Client terminates without cause or fails to provide required notices, Client will pay a kill fee equal to: plus any non-cancelable third-party commitments and accrued fees.

REPORTING, AUDIT & PERFORMANCE

Client may request an audit of Agency's media placements and invoices with reasonable notice. Agency will provide platform invoices and documentation related to spend and placements upon reasonable request.

CONFIDENTIALITY, REPRESENTATIONS & INDEMNITY

Each party will protect the other's Confidential Information and use it only for performance under this Agreement. Each party represents that it has the right to grant the licenses set forth herein and that materials provided do not infringe third-party rights.

LIMITATION OF LIABILITY & FORCE MAJEURE

Except for breaches of confidentiality or willful misconduct, neither party shall be liable for indirect, incidental, special, or consequential damages. Neither party will be liable for failure to perform due to causes beyond its reasonable control, provided notice is given promptly.

TAXES & EXPENSES

Client is responsible for any sales, use, VAT or similar taxes applicable to the services or media buys, excluding taxes based on Agency's net income. Agency will obtain prior written approval for any pass-through third-party expenses not included in the agreed ad budget.

GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by the laws specified by the parties below. Parties agree to attempt to resolve disputes in good faith and to submit unresolved disputes to binding arbitration if mutually agreed or to the courts of the agreed jurisdiction.

MISCELLANEOUS

No amendment to this Agreement will be effective unless in writing and signed by duly authorized representatives of both parties. If any provision is held invalid, the remainder shall remain in full force and effect.
