This Marketing Addendum (the Agreement) is entered into effective as of (Effective Date), by and between:

Recitals and Purpose

WHEREAS, Brand and Agency are parties to a preexisting Master Marketing Agreement, and WHEREAS the parties desire to amend and supplement that Agreement to define a specific campaign and related services under the terms set forth in this Addendum. This Addendum supplements and forms part of the underlying Agreement and, except as expressly modified herein, all terms of the underlying Agreement remain in full force and effect.

FTC Disclosure Compliance

Agency warrants that all endorsements, sponsored posts, and paid content will include clear and conspicuous disclosures consistent with applicable advertising laws and regulatory guidance, and that Agency will require any Creator talent to include such disclosures in placements.

Confidentiality

Each party shall keep confidential any proprietary information disclosed in connection with the campaign and shall use such Confidential Information only for the purposes of performing obligations under this Addendum. Confidential Information does not include information that is publicly available other than by breach of this Addendum.

Termination and Kill Fee

Either party may terminate this Addendum upon written notice to the other party subject to the following notice periods and payment obligations. Termination for convenience requires notice and may trigger a kill fee as set forth below.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from losses arising out of its breach of this Addendum, negligence or willful misconduct. Agency specifically indemnifies Brand for claims arising from Agency-created content that infringes third-party rights or violates applicable advertising law. Except for liability arising from gross negligence, willful misconduct or indemnification obligations, the parties' aggregate liability under this Addendum shall not exceed the total fees paid under this Addendum.

Representations and Warranties

Each party represents and warrants that it has the authority to enter into this Addendum, that its performance will not breach other agreements, and that it will comply with all applicable laws in performing its obligations. Agency warrants that Deliverables are original and that it has secured all necessary rights and clearances for use as contemplated herein.

Amendments; Governing Law

This Addendum may be amended only by a written instrument executed by both parties. This Addendum shall be governed by the laws of the jurisdiction specified below without regard to conflict of law principles.

Miscellaneous

If any provision of this Addendum is found to be invalid or unenforceable, the remaining provisions will remain in full force. This Addendum, together with the underlying Agreement, constitutes the entire agreement between the parties with respect to the subject matter herein.
