MARKETING ADS MANAGEMENT AGREEMENT

11. Confidentiality

Each party shall keep confidential the other's confidential information and use it only to perform obligations under this Agreement. Confidential information does not include information that is publicly available without breach or independently developed without use of the other party's confidential information.

12. Indemnification & Liability

Brand shall indemnify, defend and hold harmless Agency from third-party claims arising from Brand-supplied materials, claims in advertisements, or Brand's failure to comply with laws. Agency shall indemnify Brand for claims arising from Agency's gross negligence or willful misconduct in campaign execution. Neither party's liability shall exceed direct damages equal to total amounts paid to Agency under this Agreement during the preceding six months, except for liabilities arising from willful misconduct, fraud, or breaches of confidentiality or IP ownership.
