Exclusivity

Unless expressly set forth below, Creator is free to provide services to other parties. If Brand requires exclusivity, specify terms and any exclusivity fee below. Exclusivity must be expressly agreed in writing.

Termination, Notice & Kill Fee

Either party may terminate this Proposal for material breach if the breach is not cured within the notice period below. Either party may terminate for convenience with prior written notice subject to a kill fee as set forth below.

Intellectual Property & Ownership

Unless otherwise agreed, Agency retains ownership of conceptual materials, templates, and underlying technology. Brand receives the license or assignment specifically set forth in this Proposal upon full payment. Any assignment of intellectual property shall be effective only upon execution of a separate written assignment or upon specific language below.

Confidentiality & Publicity

Both parties agree to keep confidential any non-public business or technical information disclosed in connection with this Proposal. Publicity or press releases concerning the relationship or campaign require prior written approval from the other party.

Indemnification & Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising from that party's breach of representations, willful misconduct, or negligence. Except for willful misconduct or intellectual property indemnities, neither party's aggregate liability for claims arising under this Proposal shall exceed the total fees paid to Agency under this Proposal.

Representations & Warranties

Each party represents that it has the authority to enter into this Proposal and that performance will not infringe third-party rights. Agency represents that all delivered materials will be original or properly licensed and that it will obtain necessary clearances for materials provided by Agency.

Miscellaneous

This Proposal constitutes the entire agreement between the parties with respect to the campaign and supersedes prior proposals or understandings.
