Representations, Warranties & Indemnity

Each party represents it has the authority to enter this Agreement. Agency warrants that the content will not infringe third-party rights and will comply with applicable laws. Agency will indemnify and hold Brand harmless from third-party claims arising from Agency-created materials, except to the extent caused by Brand-supplied materials.

Confidentiality

Each party agrees to keep confidential the other party's proprietary information disclosed in connection with this Agreement and shall use such information only for the performance of obligations under this Agreement. Confidential information excludes information that is public or independently developed.

Limitation of Liability & Remedies

Except for liability arising from willful misconduct or gross negligence, neither party's liability for direct damages shall exceed the total fees paid under this Agreement for the campaign. In no event shall either party be liable for consequential, incidental, or punitive damages.

Miscellaneous

Governing Law: The parties agree that this Agreement shall be governed by the laws of the State of without regard to conflict of laws principles.
