Agency shall indemnify and hold Brand harmless from claims arising out of Agency's breach of such representation or infringement, and Brand shall indemnify Agency for claims arising from Brand-provided materials or Brand direction that infringe third-party rights.

Confidentiality

Each party shall treat the other party's confidential information with at least the same degree of care it uses to protect its own confidential information, and shall not disclose such information except as required by law or as necessary to perform this Agreement. Confidentiality obligations shall survive termination for a period of .

Limitation of Liability & Force Majeure

Except for indemnification obligations or breaches of confidentiality, neither party shall be liable to the other for incidental, special or consequential damages.
