MARKETING ADVERTISING SERVICES AGREEMENT

Recitals and Scope

WHEREAS, Brand desires to engage Agency to perform advertising, marketing and content production services (Services) for the Campaign described below; and WHEREAS, Agency has the expertise and capacity to perform such Services under the terms set forth in this Agreement.

Deliverables and Schedule

Agency shall deliver the following items in the formats and by the delivery dates specified. Additional deliverables, versions, or changes shall require written approval and may incur additional fees.

Compensation and Expenses

Brand shall pay Agency the fees set forth below in exchange for the Services. Fees are exclusive of applicable taxes and reimbursable approved expenses.

Intellectual Property and Usage Rights

Ownership and license of creative materials shall be governed as follows. Parties may elect work-for-hire allocation or license grants below.

Work-for-hire: Brand owns all rights in final deliverables upon payment.

Agency retains underlying rights and grants Brand a license as set forth below.

Exclusivity: Brand shall have exclusive rights for the category and territory described in the license. No exclusivity; Agency free to perform similar services for others.

Disclosure, Compliance and Approvals

Agency shall ensure all advertising and influencer content complies with applicable advertising laws and industry standards, including clear and conspicuous disclosures for sponsored content.

Approvals: Brand shall review and approve deliverables within days of submission. If Brand fails to timely respond, deliverables will be deemed approved.

Termination and Kill Fee

Either party may terminate this Agreement upon written notice to the other as set forth below. Upon termination, Brand shall pay Agency for all Services performed to date and any non-cancellable third-party commitments. If Brand terminates without cause prior to completion, Brand agrees to pay a kill fee equal to the greater of the actual costs incurred or .
