Each party represents and warrants that it will comply with all applicable laws and advertising standards in connection with the campaign. Agency represents that it will exercise commercially reasonable efforts to secure truthful, non‑misleading creative and obtain any necessary consents for use of third‑party content.

FTC Disclosure Compliance: Material connections must be disclosed in content where required by law. Brand and Agency each confirm awareness of disclosure obligations and will ensure required disclosures appear conspicuously in advertising creative.

INDEMNIFICATION & LIMITATION

Each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Form, negligence, willful misconduct, or violation of applicable law in connection with the campaign. Neither party shall be liable for consequential or lost profits except for willful misconduct or gross negligence.
