COMPENSATION & PAYMENT

Brand shall pay Affiliate compensation as specified below. Payments are conditioned upon satisfaction of the tracking and verification procedures in Section "Tracking and Reporting."

Payment Method: Tax Withholding Responsibility: Affiliate shall be solely responsible for all taxes arising from payments made under this Agreement.

TRACKING AND REPORTING

All compensation must be traceable to referrals using unique affiliate links, promo codes, or tracking pixels agreed in writing. Brand's tracking records shall be presumed accurate absent manifest error.

USAGE RIGHTS & INTELLECTUAL PROPERTY

Brand grants Affiliate a limited, non-exclusive, non-transferable license to use Brand's trademarks, logos and marketing materials solely to perform obligations under this Agreement and solely for the Territory and Term set forth below.

FTC DISCLOSURE COMPLIANCE

Affiliate shall comply with applicable advertising and consumer protection laws, including clear and conspicuous disclosures of material connections in all paid or incentive-based promotions. Affiliate represents and warrants that each promoted post will include an intelligible disclosure of the Affiliate relationship.

EXCLUSIVITY

TERM AND TERMINATION

Term: This Agreement commences on the Campaign Start Date and continues until the Campaign End Date unless earlier terminated as provided herein. Either party may terminate for convenience upon days' written notice.

Termination for Cause: Either party may terminate immediately for material breach that remains uncured for days after written notice.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party arising from this Agreement and shall use such information solely to perform its obligations hereunder, except as required by law.

INDEMNIFICATION AND LIABILITY

Affiliate shall indemnify, defend and hold harmless Brand against claims arising from Affiliate content or breach of representations. Brand shall indemnify Affiliate for claims arising from Brand-supplied materials. Neither party shall be liable for indirect, incidental or consequential damages; aggregate direct liability is limited to the amount paid under this Agreement in the prior six months.

REPRESENTATIONS AND WARRANTIES

Each party represents that it has the authority to enter this Agreement, that performance will comply with applicable laws, and that it will not infringe third-party rights. Affiliate further represents that promotional content will be truthful and not misleading.

NOTICES

Notices under this Agreement shall be sent to the addresses below and are effective upon receipt.

MISCELLANEOUS

Governing Law: This Agreement shall be governed by the laws selected by the parties. Any dispute shall be resolved in accordance with the dispute resolution method selected by the parties.

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings.
