MARKETING AMBASSADOR AGREEMENT

This Marketing Ambassador Agreement ("Agreement") is entered into as of by and between:

RECITALS

Brand engages Ambassador to perform marketing and promotional services on the terms and conditions set forth in this Agreement, and Ambassador agrees to perform such services for the compensation and subject to the license grants and restrictions below.

DELIVERABLES & SCHEDULE

Ambassador will produce the deliverables described below in accordance with the formats and deadlines set out. All deliverables shall be subject to Brand approval as described in the Approval Process clause.

COMPENSATION & EXPENSES

In consideration for the Deliverables, Brand shall pay Ambassador the fees and reimburse allowable expenses as set forth below.

Reimbursable expenses are limited to those pre-approved in writing by Brand and supported by receipts. Ambassador shall submit expense documentation within 30 days of incurring the expense.

USAGE RIGHTS & INTELLECTUAL PROPERTY

Ambassador hereby grants Brand a non-exclusive, transferable, sublicensable, worldwide license to use, reproduce, distribute, publicly display and adapt the Deliverables for the purposes of marketing, advertising and promotion during the License Term. The Parties agree as set forth below regarding ownership.

Ownership of Deliverables: Brand retains exclusive ownership of final Deliverables (subject to Ambassador's moral rights, if any).
Ambassador retains ownership of raw materials and pre-existing materials, granting Brand the license specified above to incorporate such materials into the Deliverables.

FTC DISCLOSURE & COMPLIANCE

Ambassador represents and warrants that all promotional content will be clearly and conspicuously disclosed as an advertisement or paid partnership in accordance with applicable advertising and consumer protection laws and regulations. Ambassador will use Brand-approved disclosure language and placement.

Ambassador certifies that Ambassador will follow any Brand instructions for disclosures and will promptly correct any public content deemed by Brand to be non-compliant.

EXCLUSIVITY

Unless otherwise agreed in writing below, Ambassador will not enter into promotional relationships with competing brands in the product category defined by Brand during the Exclusivity Period.

APPROVAL PROCESS & REVISIONS

Brand shall provide written approval or reasonable revision requests within five (5) business days of submission of any draft Deliverable. Ambassador shall make up to two rounds of reasonable revisions at no additional charge unless additional scope is approved in writing.

REPRESENTATIONS, WARRANTIES & COMPLIANCE

Ambassador represents and warrants that (i) Ambassador has full right and authority to enter into this Agreement and to grant the rights herein; (ii) Deliverables will be original and will not infringe third party rights; (iii) Ambassador will comply with all applicable laws, rules and regulations in performing services.

INDEMNIFICATION & LIMITATION OF LIABILITY

Each Party shall indemnify and hold harmless the other Party from third-party claims arising from the indemnifying Party's breach of this Agreement, negligence or willful misconduct. Neither Party shall be liable for consequential, incidental or punitive damages except for willful misconduct or breaches of intellectual property or confidentiality obligations.

CONFIDENTIALITY

Parties shall keep confidential all non-public information disclosed in connection with the performance of this Agreement and shall not use such information except as necessary to perform obligations hereunder. Confidential information does not include information that is publicly available or independently developed without use of Confidential Information.

TERMINATION

This Agreement may be terminated by either Party for convenience upon written notice to the other Party. Termination for convenience will require the terminating Party to provide the notice period specified below and pay any earned but unpaid compensation plus any agreed kill fee.

GOVERNING LAW & NOTICES

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of laws principles. All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a Party designates in writing.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Any amendment must be in writing and signed by both Parties. If any provision is held invalid, the remaining provisions remain in effect.
