FTC Disclosure and Compliance

Agency represents and warrants that all endorsements, testimonials, native advertising, paid social posts, and any influencer content produced under this Agreement will include clear and conspicuous disclosures of material connections between Agency (or any Creator engaged by Agency) and Brand in accordance with applicable advertising and consumer protection laws and regulations. Agency shall ensure disclosures are presented in the same medium and in the same language as the content.

Exclusivity

Exclusivity: Brand-exclusive for the Subject, Non-exclusive. If exclusive, exclusivity applies for the following period:

Termination and Kill Fee

Termination for Convenience: Either party may terminate this Agreement upon days' prior written notice to the other party.

Termination for Cause: Either party may terminate for material breach if the breaching party fails to cure within days after written notice.

Kill Fee: If Brand terminates for convenience, Brand shall pay Agency a kill fee equal to or reasonable costs incurred and work performed up to the termination date, whichever is greater.

Representations, Warranties, and Indemnification

Agency represents and warrants that: (a) Agency has full power and authority to enter into this Agreement and grant the rights herein; (b) the Deliverables will be original and will not infringe third-party rights; and (c) any required releases, consents, and licenses from third parties (including talent and music) will be obtained. Brand represents that it has the right to provide any Brand assets and that use thereof will not infringe third-party rights.

Confidentiality; Data

Each party shall keep confidential all non-public information marked or reasonably understood to be confidential and shall not disclose such information except as required by law. Any personal data processed in the performance of this Agreement shall be processed in accordance with the parties' written instructions and applicable privacy laws.

Limitation of Liability and Remedies

Except for liability arising from willful misconduct, gross negligence, or indemnity obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages. The aggregate liability of either party for any claim arising out of this Agreement shall not exceed the total fees paid by Brand to Agency under this Agreement during the six (6) months preceding the claim.

Independent Contractor: Agency is an independent contractor. Nothing in this Agreement shall create an employment, partnership, joint venture or agency relationship between the parties.
