The Agency shall create, deliver, and, where applicable, post or distribute the content described below in accordance with the schedule and acceptance criteria. Each deliverable must conform to the specifications and materials approved in writing by the Brand prior to publication.

Late payments shall incur interest at the lesser of one percent (1%) per month or the maximum rate permitted by law. All amounts are exclusive of applicable taxes unless otherwise stated.

Usage Rights, Licensing, and IP

Subject to full payment, the Agency grants the Brand the following license with respect to final approved Deliverables only. Unless the parties expressly agree otherwise in writing, the Agency retains ownership of pre-existing materials, raw files, and underlying proprietary tools.

Sublicensing, assignment, or transfer of rights by the Brand is not permitted without the prior written consent of the Agency unless a full assignment has been selected above.

FTC Disclosure Compliance

Both parties acknowledge and agree that all paid, sponsored, or material relationship-based content will include clear and conspicuous disclosure of the material connection as required by applicable consumer protection and advertising laws. The Agency shall propose disclosure language and placement; the Brand shall approve such disclosure language in writing prior to posting.

Brand and Agency certify that they will comply with disclosure obligations and that any influencer or third-party talent engaged by the Agency will be instructed to make appropriate disclosures.

Exclusivity

If exclusivity is requested, the Brand and Agency shall specify the scope below. Exclusivity applies only to the channels, product categories, and territories expressly listed and for the period specified.

Termination & Kill Fee

This Agreement may be terminated by either party for convenience upon prior written notice to the other party. Termination for cause may occur immediately upon material breach that is not cured within the notice period set forth below.

Upon termination, each party shall return confidential materials and cease use of the other party's marks unless otherwise agreed in writing. Termination does not relieve Brand of payment obligations for approved deliverables or work completed prior to effective termination.

Intellectual Property Ownership

Unless full assignment is selected above, Agency retains ownership of underlying materials and grants Brand only the rights expressly set out in this Agreement. Brand shall not remove Agency credit where such credit is typical for the format.

Confidentiality

Each party shall maintain the confidentiality of the other party's proprietary information disclosed in connection with this Agreement for a period of two (2) years from disclosure unless a different term is specified below.

Representations, Indemnity & Liability

Each party represents and warrants that it has the right to enter into this Agreement and to grant the rights provided. The Agency warrants that Deliverables will not knowingly infringe third-party intellectual property rights. Each party shall indemnify and hold harmless the other from third-party claims arising from its breach, negligence, or willful misconduct. The parties' aggregate liability under this Agreement shall not exceed the total fees paid to the Agency under this Agreement, except for liability arising from willful misconduct or gross negligence.

Governing Law & Dispute Resolution

Any dispute arising under this Agreement shall be resolved by the dispute resolution process selected by the parties and is subject to the governing law stated above. The parties may elect mediation prior to litigation or arbitration; selection of forum and detailed procedures shall be set out in a separate written agreement if chosen.
