MARKETING BIZ MENTORSHIP AGREEMENT

Compensation & Payment

As consideration for the Services, Client shall pay Mentor the fees and on the schedule set forth below. All fees are exclusive of applicable taxes and reimbursable expenses unless otherwise stated.

Late payments shall accrue interest at a rate of on unpaid amounts. Client is responsible for payment of all fees that become due through termination except as provided in Section: Termination.

Intellectual Property & Usage Rights

Ownership of pre-existing materials remains with the party that supplied them. Subject to Client’s full payment of fees, Mentor grants Client a non-exclusive, non-transferable license to use deliverables created under this Agreement for the purposes described herein for the Territory and Term specified below. Mentor retains the right to use anonymized work samples for portfolio and promotional purposes unless Client checks the box below restricting such use.

FTC Disclosure Compliance

Both parties acknowledge that any public-facing content or endorsements created as part of the Mentorship must include clear and conspicuous disclosure of the material relationship between Mentor and Client in compliance with applicable advertising and endorsement regulations. Client confirms it will review campaigns for appropriate disclosure, and Mentor will advise on disclosure language where Mentor creates or posts content.

Exclusivity

Unless otherwise agreed in writing, Mentor is free to provide services to other clients. If the parties elect exclusivity, specify the scope and duration below.

Termination & Kill Fee

Either party may terminate this Agreement upon written notice to the other party as set forth below. Termination does not relieve Client of payment obligations for services performed prior to the effective date of termination. If Client terminates without cause before completion, Client will pay a kill fee equal to the greater of the unpaid balance of the contracted fee or of the total fee.

Each party shall maintain in confidence any Confidential Information disclosed by the other party, not use such information except to perform under this Agreement, and not disclose it to third parties except to employees or contractors who need to know and are bound to confidentiality obligations. Confidential Information does not include information that is or becomes public without breach, was already known, or is independently developed.

Warranties, Indemnity & Liability

Mentor warrants that services will be performed in a professional manner. EXCEPT FOR THE FOREGOING, MENTOR MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED. Client acknowledges that Mentor does not guarantee specific monetary results. Client shall indemnify and hold Mentor harmless from third-party claims arising from Client-supplied materials or Client’s use of deliverables. Except for willful misconduct or gross negligence, neither party’s liability for direct damages shall exceed the total fees actually paid under this Agreement; in no event shall either party be liable for consequential, incidental, or punitive damages.

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. Parties agree to attempt to resolve disputes in good faith prior to initiating litigation. If unresolved within thirty (30) days of written notice, disputes shall be resolved by binding arbitration in the state identified above unless the parties mutually agree otherwise.
