RECITALS

The Client engages the Agency to perform marketing and promotional services in connection with the campaign described below. The parties desire to define bonus compensation payable to the Agency upon the achievement of specified performance metrics and subject to the terms and conditions set forth in this Agreement.

PAYMENT TERMS

Bonus payments will be made only after verification of performance in accordance with the verification provisions below. All payments are subject to the deductions required by law.

REPORTING, VERIFICATION & AUDIT RIGHTS

The Agency shall provide Client with the reporting required to verify performance. Client shall have the right to request and review source data and to conduct a single audit, on reasonable notice and during normal business hours, to confirm performance calculations.

FTC DISCLOSURE COMPLIANCE

The Agency shall comply with all applicable advertising and endorsement disclosure obligations. The Agency represents that it will include clear and conspicuous disclosures on paid or sponsored content as required by applicable advertising standards.

Agency certifies that it will use required disclosures on all qualifying content and will retain records of disclosure placement for the verification window.

EXCLUSIVITY

Unless otherwise agreed in writing, the Agency shall not promote directly competing products or services for the duration specified below.

TERMINATION & KILL FEE

CONFIDENTIALITY, INDEMNIFICATION & LIMITATION OF LIABILITY

Each party shall keep confidential the other's proprietary information. The Agency shall indemnify Client for claims arising from Agency-supplied content, and Client shall indemnify Agency for claims arising from Client-supplied materials. Neither party shall be liable for consequential damages; aggregate liability is limited to the greater of the fees paid under this Agreement or the maximum bonus paid.

Notices under this Agreement shall be sent to the addresses listed below and are effective upon receipt.

GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by the substantive laws of the jurisdiction specified below without regard to conflicts of law principles. Disputes shall be resolved by the dispute resolution method selected below.

MISCELLANEOUS
