Compensation and Payment

Brand shall pay Creator the following consideration for the Services and Deliverables.

Overdue payments shall bear interest at the lesser of 1.5% per month or the maximum lawful rate; Brand will also reimburse Creator for reasonable collection costs.

Usage Rights and Intellectual Property

Creator grants Brand a non-exclusive/exclusive license as specified below to use the Deliverables for the permitted Uses, Territory, and Term described herein.

Revisions, Acceptance and Approval

Exclusivity and Non-Compete

FTC Disclosure Compliance

Creator shall comply with applicable advertising and endorsement laws and regulations, including clear and conspicuous disclosure of any material connection between Creator and Brand in published promotional materials. Creator will include the following disclosure language when required:

Termination and Kill Fee

Either Party may terminate for material breach after written notice and a day cure period. Brand may terminate for convenience upon days' notice, subject to payment of a kill fee equal to or actual costs incurred, whichever is greater.

Representations, Warranties, and Indemnity

Creator represents and warrants that the Deliverables are original, do not infringe third‑party rights, and that Creator has secured all necessary licenses for included third‑party content. Creator shall indemnify, defend and hold Brand harmless from claims arising out of Creator's breach of these warranties.

Confidentiality

Each Party will keep confidential the other's proprietary materials disclosed in connection with this Agreement and will not use such materials except to perform its obligations hereunder. Confidential information excludes information that becomes publicly known other than through breach.

Force Majeure; Governing Law; Dispute Resolution

Neither Party shall be liable for delays or failures caused by events beyond its reasonable control (force majeure). This Agreement shall be governed by the laws of the state identified below, without regard to conflict of laws principles.

Miscellaneous

Entire Agreement: This Agreement constitutes the entire agreement between the Parties concerning the Project and supersedes prior negotiations. Amendments must be in writing and signed by both Parties.
