MARKETING BRAND AGREEMENT

This Marketing Brand Agreement (the Agreement) is entered into as of , by and between:

Recitals

The Brand desires promotional services in connection with the campaign described below and the Agency represents that it has the expertise and personnel to create and deliver the services and materials described in this Agreement. The parties agree as follows.

The Agency shall deliver the content items set forth below in strict accordance with the specifications and deadlines. Each deliverable shall conform to the technical and creative brief attached or described below.

3. Compensation and Payment

In consideration for the Deliverables, the Brand shall pay the Agency the fees and reimbursements set forth below. All fees are exclusive of applicable taxes unless stated otherwise.

4. Usage Rights; License Grant

Upon full payment of all fees due under this Agreement, the Agency grants the Brand a license to use the Deliverables as set forth below. The scope of the license, territory, duration and permitted uses are subject to the selections and limitations below.

5. FTC Disclosure Compliance

The Agency shall ensure that all sponsored or paid content complies with applicable advertising and disclosure laws and regulations. The Agency must use clear and conspicuous disclosure language in each post where compensation or material connection exists.

6. Exclusivity

If an exclusivity obligation is selected, the Agency agrees not to provide certain promotional services to competing brands during the exclusivity period defined below.

7. Termination; Kill Fee

Either party may terminate this Agreement for material breach if the breach remains uncured after the notice period below. Termination shall not relieve the Brand of obligations to pay for Deliverables performed or in production as of the termination date. A kill fee may apply for work in progress.

8. Intellectual Property Ownership

Ownership of rights in Deliverables will be allocated as follows unless otherwise agreed in writing. The parties may elect assignment, work‑for‑hire, or license grant. Any moral rights shall be waived to the extent permissible by law.

9. Confidentiality

The parties acknowledge that certain information disclosed in connection with the Campaign may be confidential. Confidential Information shall be subject to the terms below.

10. Representations, Warranties, Indemnification

Each party represents and warrants that it has the authority to enter into this Agreement. The Agency warrants that Deliverables will not infringe third-party rights and will comply with applicable laws. The Agency shall indemnify, defend and hold harmless the Brand against third-party claims arising from Agency's breach of warranties, except to the extent caused by Brand materials or instructions.

11. Limitation of Liability; Governing Law; Dispute Resolution

Except for liability for willful misconduct, gross negligence, or indemnification obligations, neither party shall be liable for consequential or incidental damages. This Agreement shall be governed by the laws of the state identified below. The parties shall first attempt to resolve disputes through good faith negotiation and, if unresolved, submit to binding arbitration or the courts as selected below.

12. Notices

Notices under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section or to such other address as a party may designate in writing.

13. Miscellaneous Provisions

This Agreement constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior agreements. Any amendment must be in writing and signed by both parties. If any provision is held invalid, the remainder shall remain in full force.
