MARKETING BRAND ALIGNMENT TEMPLATE

This Marketing Brand Alignment Template (the Agreement) is entered into as of (Effective Date) by and between:

1. Purpose and Campaign Overview

The parties agree to collaborate on the marketing campaign described below for the purpose of aligning creative content, brand positioning, and promotional activities to achieve the stated objectives.

              

2. Deliverables and Schedule

The Creator will produce the deliverables described below in accordance with the specifications and deadlines. Each deliverable must be submitted for Brand review by the stated due date.

Additional deliverables, specifications, or creative requirements may be attached as an appendix and incorporated by reference.

3. Compensation and Payment

Late payments will accrue interest at the lesser of 1.5% per month or the maximum allowed by law, and Brand shall reimburse reasonable collection costs.

4. Usage Rights and Intellectual Property

Creator grants Brand a non-exclusive / exclusive (select one) license to use the Deliverables as set forth below. Unless otherwise stated, Creator retains ownership of underlying materials and moral rights where applicable.

  

5. FTC Disclosure and Compliance

Creator must clearly and conspicuously disclose paid partnership, sponsorship, or material connection on each platform-specific post and in platform-appropriate format. Creator's failure to comply may be treated as a material breach and subject to remedies under this Agreement.

6. Exclusivity

If exclusivity is required, specify scope and duration below. Unless expressly agreed, Creator remains free to engage other partners in non-conflicting engagements.

  

7. Term, Termination and Kill Fee

This Agreement commences on the Effective Date and continues until all Deliverables are accepted or the parties terminate earlier in accordance with this section.

8. Warranties, Representations and Indemnity

Each party represents and warrants that it has the full right and authority to enter into this Agreement. Creator warrants that Deliverables will be original, will not infringe third-party rights, and will comply with applicable law. Creator shall indemnify and hold Brand harmless from claims arising from Creator's breach, negligence, or infringement.

9. Approvals, Revisions and Acceptance

Brand shall provide timely approvals or requested revisions. The parties agree to a revision allowance; additional revisions will be billed at Creator's standard hourly or per-item rate as set forth below.

10. Reporting and Performance Metrics

Creator will provide Brand with post-campaign reporting for agreed KPIs within the timeframe specified. Reporting obligations should include impressions, engagement, and any platform analytics reasonably available.

11. Confidentiality

Each party agrees to maintain the confidentiality of Confidential Information disclosed in connection with the campaign, and to use such information only as necessary to perform under this Agreement. Confidentiality obligations survive termination for a period of two (2) years unless otherwise agreed.

12. Publicity

Either party may request approval of publicity that references the other party. Creator will not use Brand trademarks or logos in promotional materials without prior written permission.

13. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the state specified below without regard to conflict-of-law principles. Parties will attempt to resolve disputes in good faith prior to pursuing litigation.

14. Miscellaneous

This Agreement constitutes the entire understanding between the parties regarding the campaign and supersedes prior communications. Amendments must be in writing and signed by authorized representatives. If any provision is held unenforceable, the remainder shall remain in effect.
