Usage Rights & Intellectual Property

License Grant: Ambassador hereby grants to Brand a worldwide, royalty‑free, sublicensable, transferable, non‑exclusive/exclusive (select one) license to use, reproduce, distribute, display and create derivative works of the Deliverables for the Duration specified below, subject to payment in full and any moral rights waived to the maximum extent permitted by law.

Ownership: Unless otherwise agreed in writing, Brand shall own all right, title and interest in the Deliverables created specifically for Brand under this Agreement. Ambassador retains ownership of pre‑existing materials and underlying skills, concepts and know‑how that are not unique to the Deliverables.

Exclusivity

During the Exclusivity Period, Ambassador shall not endorse or promote directly competing products or services without Brand's prior written consent.

Termination & Kill Fee

This Agreement may be terminated by either party upon written notice to the other party as set forth below. Termination without cause requires advance written notice of days.

If Brand terminates without cause after Ambassador has begun performance, Brand will pay a kill fee equal to USD, plus payment for pre‑approved expenses incurred.

Confidentiality, Publicity & Non‑Disparagement

Ambassador shall keep confidential all non‑public information disclosed by Brand and shall not use such information except to perform obligations under this Agreement. Neither party shall make public statements that disparage the other party.

Representations, Warranties & Indemnification

Ambassador represents and warrants that the Deliverables will be original and will not infringe third‑party rights. Ambassador shall indemnify, defend and hold Brand harmless from any claims arising out of Ambassador's breach of representations, obligations, or misuse of third‑party materials.

Limitation of Liability; Insurance

Except for breaches of confidentiality or indemnity obligations, neither party shall be liable to the other for consequential or punitive damages. Ambassador shall maintain policies of insurance as reasonably required by Brand where applicable.
