Approval Process: Agency will submit deliverables for Brand review. Brand will provide consolidated feedback within business days. The scope includes rounds of revisions; additional revisions will be billed as set forth below.

Brand Identity Guidelines

Logo Usage: Primary logo must have a minimum clearspace equal to the height of the logo mark. Do not stretch, recolor beyond palette, or apply drop shadows unless expressly approved in writing by Brand. Approved alternate logo lockups: specify below.

Incorrect Uses: Examples of prohibited alterations include: changing proportions, replacing typeface within the mark, applying unapproved color overlays, and cropping below the baseline. All non-compliant use must be removed upon notice.

Compensation & Payment Terms

Total Fee: $. Unless otherwise specified in writing, fees do not include third‑party costs (ad spend, licensing), which are reimbursable by Brand upon documentation.

Late Payment: Unpaid amounts will bear interest at 1.5% per month (or the highest rate permitted by law), and Agency may suspend deliverables until amounts are brought current after seven days' written notice.

Rights, Licenses, and Intellectual Property

Ownership: Unless otherwise agreed in writing, Agency retains copyright in pre-existing materials and creative methodologies. Agency grants Brand a license to use deliverables as specified below. If Brand requires transfer of copyright, specify below including additional fees.

FTC Disclosure & Endorsement Compliance

Both parties acknowledge their obligations under applicable advertising and endorsements law. Where endorsements, gifted products, paid placements, or sponsored content occur, Agency will ensure disclosures are clear, conspicuous, and placed within the content as required.

Exclusivity and Conflicts

Exclusivity: The parties agree that the Agency will exclusivity during the term set forth below. Any carve-outs must be documented in writing.

Confidentiality

Each party will keep confidential all non-public information received from the other party and will not disclose such information except as required by law. Confidential information shall remain protected for years following termination.

Termination and Kill Fee

Either party may terminate this agreement upon days' written notice. If Brand terminates for convenience after work has begun, Brand will pay a kill fee equal to the greater of (i) actual costs incurred plus a pro rata portion of fees, or (ii) $, as detailed in the final invoice.

Warranties, Indemnities, and Limitation of Liability

Warranties: Each party represents that it has authority to enter this agreement and will comply with applicable laws. Agency warrants that deliverables will not knowingly infringe third‑party rights.

Indemnity: Each party will indemnify and hold the other harmless from losses caused by breach of representations, willful misconduct, or negligence, subject to customary notice and mitigation obligations.

Limitation of Liability: Except for liability arising from willful misconduct or indemnities for IP infringement, neither party's aggregate liability will exceed the fees paid under this agreement in the twelve months preceding the claim.

Change Orders and Additional Services
