USAGE RIGHTS & INTELLECTUAL PROPERTY

License Grant: Agency grants Brand a non-exclusive, transferable license to use Final Deliverables for the Permitted Uses described below, subject to payment in full. Final Deliverables are defined as the final files delivered and accepted pursuant to Acceptance Criteria.

Pre-existing Materials and Background IP: Agency retains ownership of pre-existing materials and Background IP. Brand is granted only the licenses expressly set forth above. Any transfer of copyright will be effected only in a separate written assignment.

Exclusivity: Check to indicate an exclusivity obligation. If exclusive, the parties agree that Agency will not undertake substantially similar paid promotion for direct competitors of Brand during the exclusivity term.

FTC DISCLOSURE COMPLIANCE

Disclosure Compliance: Agency and Brand acknowledge that paid endorsements or sponsored content must include clear and conspicuous disclosure in all applicable channels. Agency represents it will include prominent disclosure language with each sponsorship deliverable unless Brand provides alternate required disclosure language in writing.

Certification of Compliance: Agency certifies that disclosures will be included and that content will comply with applicable consumer protection rules.

TERMINATION & KILL FEE

Either party may terminate this engagement upon written notice to the other party as set forth below. Termination for convenience by Brand requires prior written notice and payment of the Kill Fee set forth herein.

Kill Fee: If Brand terminates for convenience after work has commenced, Brand will pay a kill fee equal to of the remaining contract value or actual costs incurred by Agency, whichever is greater. Kill Fee Amount (if known):

INTELLECTUAL PROPERTY OWNERSHIP & USAGE

Ownership of Final Deliverables shall transfer to Brand upon receipt of final payment, except that Agency retains rights to Background IP and moral rights where applicable. Nothing in this agreement assigns Agency's underlying methodologies, templates, or pre-existing code.

Portfolio Use: Agency may display non-confidential Final Deliverables in its promotional materials and portfolio unless Brand marks materials as confidential in writing prior to delivery.

CONFIDENTIALITY, WARRANTIES & INDEMNITY

Confidentiality: Each party will keep confidential non-public information disclosed by the other party and will use such information only for performance under this Form. Confidential information does not include information that is publicly available without breach.

Warranties: Each party represents it has authority to enter this agreement and will comply with applicable laws. Agency warrants that deliverables will be original work and will not knowingly infringe third-party rights.

Indemnity: Each party will indemnify and hold harmless the other from losses arising from a material breach of representations, negligence, or willful misconduct. Remedies shall include costs of defense, settlement, and damages as allowed by law.

Revisions: The scope includes rounds of revision per deliverable. Additional revisions will be billed at Agency's standard hourly rate.
