Usage Rights & Intellectual Property

Work Product: Unless otherwise agreed in writing, upon full payment the Facilitator assigns to the Brand all right, title and interest in the final agreed-upon deliverables prepared specifically for the Brand (the "Work Product"). Pre-existing proprietary methodologies, templates, and tools of the Facilitator remain the Facilitator's exclusive property, and the Brand receives a non-exclusive, non-transferable license to use those materials only in connection with the Work Product and the Brand's business.

Confidentiality

Each party will hold in confidence and not disclose to any third party any Confidential Information of the other party disclosed in connection with this Agreement. Confidential Information excludes information that is or becomes publicly known without breach, is already in the receiving party's possession, or is independently developed.

FTC & Disclosure Compliance

Brand and Facilitator will comply with all applicable advertising and disclosure laws and guidelines when using deliverables in paid or organic marketing, including clear and conspicuous disclosure of material relationships. The Brand is responsible for ensuring required disclosures are implemented in any influencer or paid placements that deploy messaging developed during the Retreat.

The Brand represents that it will provide accurate product and claim information necessary for compliant messaging. Affirmation of this representation:

Exclusivity

During the period commencing on the Effective Date and ending 90 days after the final deliverable acceptance, the Facilitator will not provide substantially similar retreat facilitation services for a directly competing company in the Brand's primary product category within the agreed territory without prior written consent. Terms and exceptions:

Termination

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the specified cure period. Termination without cause by the Brand requires days' written notice. Termination fees: the Brand will pay the Facilitator the kill fee specified above plus all costs reasonably incurred up to the termination date.

Liability, Indemnity & Insurance

Each party will indemnify and hold harmless the other from third-party claims arising from its breach of representations or willful misconduct. Except for indemnity obligations or willful misconduct, each party's aggregate liability under this Agreement will not exceed the total fees paid to the Facilitator under this Agreement.

Force Majeure

Neither party will be liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, governmental actions, pandemics, strikes, or transportation delays. The affected party will promptly notify the other and use reasonable efforts to resume performance.

Governing Law & Dispute Resolution

This Agreement will be governed by the laws of the jurisdiction specified below without regard to conflicts of law principles. The parties will attempt to resolve disputes in good faith and may pursue arbitration or litigation as agreed.

Representations

Each party represents that it has the full power and authority to enter into this Agreement and to perform its obligations. The Brand represents that any product claims provided to the Facilitator are true, substantiated, and lawful for use in marketing materials.

Miscellaneous

Amendments must be in writing and signed by authorized representatives. If any provision of this Agreement is held unenforceable, the remainder will remain in full force and effect.
