MARKETING BRANDING AGREEMENT

This Marketing Branding Agreement ("Agreement") is entered into as of the day of , by and between the parties identified below.

WHEREAS, Brand desires to engage Agency to deliver branding and marketing services specifically described in this Agreement; and WHEREAS, Agency possesses the expertise and personnel necessary to perform such services under the terms set forth herein. Capitalized terms used in this Agreement shall have the meanings set forth in the text and as reasonably understood in commercial practice.

Campaign Description and Objectives

Deliverables and Schedule

Agency shall deliver the following items in accordance with the schedule and specifications set forth below. Each deliverable shall comply with the technical and brand requirements provided by Brand and incorporated herein.

Compensation and Expenses

Brand shall pay Agency the fees set forth below in consideration for the Deliverables and Services. All fees are exclusive of applicable taxes unless otherwise stated.

Usage Rights, Ownership, and License

Agency grants Brand the rights described below with respect to Deliverables that are accepted in writing by Brand. Rights granted are subject to full payment of all amounts due.

FTC Disclosure and Compliance

Agency represents and warrants that it will comply with all applicable advertising laws, regulations and guidelines regarding paid endorsements, sponsored content, and required disclosures. Agency will include clear and conspicuous disclosure of any material connection between Agency and Brand in each Deliverable where required.

Representations, Warranties and Covenants

Each party represents and warrants that it has full power and authority to enter this Agreement and perform its obligations. Agency warrants that Deliverables will be original, will not infringe third party rights, and will conform to specifications. Brand warrants that any materials it provides to Agency do not infringe third party rights and that Brand has the right to grant necessary licenses.

Confidentiality

Each party shall hold in confidence and shall not disclose Confidential Information of the other party except as strictly necessary to perform obligations under this Agreement. Confidential Information excludes information that is publicly known or rightfully received from a third party without restriction.

Term, Termination and Kill Fee

This Agreement commences on the Effective Date specified above and shall continue until completion of the Deliverables unless earlier terminated as provided herein. Either party may terminate for material breach if the other fails to cure within the required notice period.

If Brand terminates without cause after Agency has commenced work on Deliverables, Brand shall pay the kill fee and reasonable fees for work completed to date as calculated under the agreed payment schedule.

Indemnification and Limitation of Liability

Each party agrees to indemnify, defend and hold harmless the other from third-party claims arising from its breach of representations, warranties, or willful misconduct. Except for breaches of confidentiality or indemnity obligations, neither party's aggregate liability shall exceed the total fees paid to Agency under this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below. The parties agree to attempt mediation prior to initiating litigation.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth in the Parties and Contact Information section or to such other address as may be designated by written notice.

Miscellaneous

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements. No amendment shall be effective unless in writing and signed by authorized representatives of both parties. Neither party may assign this Agreement without the prior written consent of the other, except that Brand may assign to an affiliate.
