FTC Disclosure Compliance

Both parties acknowledge obligations under applicable consumer protection and advertising standards requiring clear disclosure of material connections. Agency will ensure that all sponsored or paid media, influencer posts, and native placements include prominent, unambiguous disclosure of compensation or material relationship in language reasonably likely to be understood by the intended audience.

Either party may terminate this Plan upon days' prior written notice. Termination shall not relieve the Brand of obligations to pay for Services and Deliverables completed and approved prior to termination.

Intellectual Property Ownership

Unless otherwise agreed in writing, the Agency retains ownership of pre-existing materials and moral rights in creative concepts; the Brand receives the license rights specified above to the final Deliverables upon payment in full. Assignment of any underlying Agency pre-existing work shall be by separate written agreement.

Confidentiality

Each party will maintain the other's Confidential Information in confidence and will not disclose or use such information except as necessary to perform this Plan. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party or that was independently developed.

Approvals, Revisions & Change Orders

Brand will provide approvals or reasonably detailed feedback within business days of submission. Revisions beyond the agreed scope will be handled as change orders and billed in accordance with the Payment Schedule.

Reporting & Metrics

Representations, Warranties & Indemnities

Each party represents that it has authority to enter this Plan. Agency warrants Deliverables will be original and will not knowingly infringe third-party rights. Agency will indemnify the Brand from third-party claims arising from Agency's breach of the foregoing warranty; Brand will indemnify Agency from claims arising from Brand-supplied materials or Brand's misuse of Deliverables.

Limitation of Liability & Governing Law

Except for willful misconduct or gross negligence, neither party will be liable for consequential, incidental, or punitive damages. The parties agree that disputes arising under this Plan will be governed by the laws of the jurisdiction agreed below.

Entire Agreement: This Plan, including referenced attachments and schedules signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes prior negotiations and understandings.
