Exclusivity

Confidentiality

Termination

Either party may terminate this Agreement upon written notice subject to the provisions below. Termination does not relieve Brand of payment for services performed and approved expenses incurred through the termination date, except as otherwise agreed in writing.

Representations, Warranties & Indemnity

Each party represents that it has authority to enter into this Agreement. Agency represents that Deliverables will not infringe third-party rights. Parties shall indemnify one another for breaches of representations, misuse of intellectual property, and willful misconduct, subject to the limitations set forth below.
