Usage Rights, License & Intellectual Property

Grant of License: Subject to full payment of fees, Agency hereby grants Client a non-exclusive, worldwide license to use, reproduce, distribute and display the final brochure deliverables for the Client's commercial marketing purposes for the duration set forth below. Any use beyond the scope of this license requires prior written permission and additional compensation.

Creator/Agency will include readable disclosure language in any paid or sponsored promotional placements.

Representations, Warranties & Indemnity

Agency represents that the deliverables will be original or properly licensed and will not infringe third-party rights. Client represents that any materials it provides are owned or licensed to Client. Each party shall indemnify and hold harmless the other for claims arising from its breach of these representations.
