Agency and any creator participants shall clearly and conspicuously disclose material connections to Client and the promotional nature of content. All endorsements, native advertising and influencer posts must include a disclosure that is unavoidable and plainly visible in each placement.

Confidentiality

Each party will keep confidential and not disclose proprietary information disclosed by the other party except as necessary to perform this Agreement. Confidentiality obligations survive termination for months.

Representations, Warranties and Covenants

Each party represents that it has authority to enter this Agreement and will comply with applicable laws in performing its obligations. Agency warrants that Deliverables will not infringe third-party IP rights and will be original or properly licensed.

Indemnification and Liability

Each party indemnifies the other from third-party claims arising from breach of representations. Notwithstanding anything to the contrary, neither party's aggregate liability for direct damages shall exceed $ , except for willful misconduct or gross negligence.

Termination

Either party may terminate this Agreement for material breach upon days' written notice and failure to cure. Client may terminate for convenience upon written notice subject to a kill fee described below.
