The Agency will provide the following deliverables. Itemize deliverables, formats, quantities, and delivery deadlines. Each line constitutes a deliverable to be invoiced as provided in the Compensation section.

Compensation & Expenses

Compensation is payable in accordance with the schedule below. All amounts are exclusive of applicable taxes unless otherwise specified. Agency shall invoice Brand for fees and recoverable expenses as set forth.

Reimbursable expenses (travel, production costs, third-party media buys) require prior written approval by Brand. Agency will provide receipts and line-item documentation upon request.

Usage Rights, Ownership & IP

Subject to full payment of all fees due, Agency grants Brand a non-exclusive/non-transferable license to use Deliverables as set forth below unless an assignment is expressly stated. Agency retains ownership of pre-existing materials and underlying methodologies.

Regulatory & Disclosure Compliance

All promotional content produced by Agency under this Proposal must comply with applicable advertising and consumer protection laws, including clear and conspicuous disclosures of material connections between Brand and Agency when required. Agency will include required disclosures on content and will consult Brand on any required endorsements language prior to publishing.

By checking the box below, the undersigned acknowledges that all influencer or sponsored content will contain clear disclosure of the commercial relationship in a manner reasonably prominent to the audience.

Exclusivity

Unless otherwise specified in writing, this Proposal does not grant Brand exclusivity. If Brand requires exclusivity, specify scope and term below. Exclusivity, if granted, will be compensated as agreed and will survive termination for the specified period.

Termination & Kill Fee

Either party may terminate this Proposal for convenience upon written notice. Termination for convenience requires the notifying party to provide the notice period set below and to pay any non-cancellable costs and a kill fee where applicable.

Confidentiality, Warranties & Indemnification

Each party will keep confidential the other party's proprietary information disclosed in connection with this Proposal and will not use such information except to perform obligations under this Proposal. Brand represents that it has the right to provide any materials furnished to Agency. Agency represents that deliverables will be original and will not infringe third-party rights. Each party shall indemnify and hold harmless the other from claims relating to its breach of representations, negligence, or willful misconduct.

Limitation of Liability & Governing Law

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality or intellectual property obligations, neither party shall be liable for consequential, incidental, punitive, or special damages. The parties agree that any dispute arising under this Proposal will be governed by the laws mutually selected below and resolved in the agreed forum unless otherwise agreed in writing.

Acceptance

This Proposal, together with any attachments and schedules incorporated by reference, constitutes the full statement of the terms and conditions under which Agency will provide services to Brand. Execution by both parties below constitutes acceptance of the terms set forth herein. If executed by electronic signature, the parties agree such signature is legally binding.
