6. FTC DISCLOSURE COMPLIANCE

Either party may terminate for convenience with prior written notice of days. If Brand terminates without cause after work has commenced, Brand will pay a kill fee equal to of unpaid fees plus pre-approved expenses.

Except as expressly licensed to Brand in this Appraisal, all pre-existing intellectual property of Agency remains Agency's property. To the extent permitted by law, Agency assigns to Brand all right, title and interest in the final deliverables created specifically for the Brand upon full payment. Agency hereby waives any moral rights to the extent permitted by law.

10. Indemnification & Limitation of Liability

Each party will indemnify and hold harmless the other party against claims arising from its breach of representations, warranties, or material obligations under this Appraisal and from third-party claims alleging infringement due to Agency-provided materials. Except for claims of willful misconduct or gross negligence, neither party's aggregate liability for direct damages shall exceed the total fees paid under this Appraisal for the Campaign.
