MARKETING CAMPAIGN CONTRACT

Parties and Effective Date

This Marketing Campaign Contract (the Agreement) is entered into as of Effective Date:

Recitals

Whereas Client desires to engage Agency to create and distribute marketing content for a defined campaign, and Agency has the expertise and capacity to render such services under the terms set forth below; now, therefore, the parties agree as follows.

Campaign Description

Deliverables

Agency shall deliver the content items described below in accordance with the specifications, formats and delivery deadlines. Final deliverables must meet the Acceptance Criteria set forth for each item.

Compensation & Payment

Client shall pay Agency the fees and reimburse authorized expenses as described below. Unless otherwise stated, fees are exclusive of taxes and duties for which Client is responsible.

Usage Rights & Intellectual Property

Unless otherwise agreed in writing, Agency grants Client the license to use the Final Deliverables as set forth below. Ownership of preliminary materials, raw footage and underlying tools may be retained by Agency except where a Work Made for Hire is expressly agreed.

FTC Disclosure & Compliance

Agency shall ensure that all endorsements, sponsored content and influencer posts clearly and conspicuously disclose the material connection to Client in accordance with applicable advertising and consumer protection laws and guidance. Disclosure must be prominent in the primary content and not buried in links or captions.

Exclusivity

Termination

Either party may terminate this Agreement in accordance with the terms below. Termination does not relieve Client of payment obligations for services performed and approved prior to termination.

Approvals, Change Orders & Acceptance

All deliverables submitted by Agency are subject to Client review and acceptance. Client will approve or provide written comments within the Review Period. Changes outside the scope shall be treated as Change Orders and may be subject to additional fees.

Reporting & Metrics

Confidentiality, Warranties & Indemnity

Each party will maintain the confidentiality of the other party’s Confidential Information disclosed under this Agreement. Agency represents that the Final Deliverables will not infringe third-party rights and will comply with applicable laws. Agency shall indemnify and hold Client harmless from claims arising out of Agency’s breach of representations, negligence, or willful misconduct.

Limitation of Liability & Remedies

Except for liability resulting from gross negligence or willful misconduct, neither party will be liable for incidental, consequential, special or punitive damages. The parties’ aggregate liability under this Agreement will not exceed the total fees paid by Client to Agency under this Agreement during the preceding twelve (12) months.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements. No modification is binding unless in writing and signed by both parties. Agency performs services as an independent contractor. Assignment requires prior written consent of the other party.
