MARKETING CAMPAIGN DEDICATED VIDEO AGREEMENT

Usage Rights & Ownership

Creator hereby grants to Brand a perpetual, royalty-free, worldwide, exclusive license to use, reproduce, distribute, publicly display, and create derivative works of the Deliverables for the Campaign, across all media now known or hereafter developed, subject to the limitations below. If applicable law permits, Deliverables shall be considered Work Made for Hire and ownership shall vest in Brand; to the extent ownership cannot vest by operation of law, Creator assigns all right, title, and interest in and to the Deliverables to Brand.

Creator warrants it has the right to license all underlying elements (music, images, talent releases). Creator agrees to deliver executed third-party licenses and releases upon request.

FTC Disclosure & Compliance

Creator shall comply with all applicable advertising and consumer protection laws and regulations, including clear and conspicuous disclosures of any material connection between Creator and Brand. Creator confirms they will include the required disclosure language in the Deliverables and captions where applicable and will not publish deceptive or unsubstantiated claims.

Exclusivity

Termination

Either Party may terminate this Agreement for convenience upon days' prior written notice. For breach, the non-breaching Party may terminate if the breach is not cured within days after written notice. If terminated after production has commenced, Brand shall pay Creator the kill fee set forth above and all reasonable costs incurred through the effective date of termination.

Intellectual Property, Warranties & Indemnity

Creator represents and warrants that (a) Deliverables are original and do not infringe third-party rights; (b) Creator has all required rights, licenses, clearances, and releases for the Deliverables; and (c) Creator will not include defamatory or unlawful material. Creator shall indemnify and hold Brand harmless from and against any third-party claim arising from breach of these warranties, including reasonable attorneys' fees and costs.

Confidentiality

Each Party will maintain as confidential all non-public information disclosed by the other Party that is designated as confidential or that reasonably should be understood to be confidential, for a period of from disclosure. Confidentiality obligations do not apply to information that becomes public other than by breach or is required to be disclosed by law.

Approval, Delivery & Reporting

Creator shall deliver draft materials to Brand via mutually agreed electronic delivery. Brand shall approve or request revisions within business days of receipt. Upon final approval, Creator will deliver final masters in the agreed formats. Creator shall provide campaign performance metrics and access to analytics as reasonably requested by Brand for the Campaign period.

Taxes and Insurance

Creator is responsible for all federal, state, and local taxes arising from payments received under this Agreement. Creator shall maintain at its expense applicable insurance coverage for activities performed under this Agreement and provide certificates of insurance upon Brand's request.

Independent Contractor; Force Majeure

Creator is an independent contractor and not an employee, partner, or agent of Brand. Neither Party will be liable for failure or delay resulting from causes beyond its reasonable control, including acts of God, labor disputes, or governmental actions. Affected performance times will be extended for the period of the force majeure event.

Governing Law & Dispute Resolution

This Agreement will be governed by the laws specified by the Parties without regard to conflict of law rules. Governing Law State or Jurisdiction: . Parties will first seek to resolve disputes through good faith negotiation, then through mediation before initiating litigation.

Notices
