MARKETING CAMPAIGN FORM

1. Parties

This Marketing Campaign Form (the "Agreement") is entered into between the parties identified below as of the Effective Date. Each party represents and warrants it has authority to enter into this Agreement and to perform its obligations hereunder.

Subject to full payment, Agency grants Brand a non-exclusive / exclusive license as specified below to use the final Deliverables for the Permitted Uses. All licenses are limited to the Territory and Duration set forth in this Agreement.

6. FTC Disclosure Compliance

Both parties acknowledge that any sponsored content published pursuant to this Agreement must include clear and conspicuous disclosures that the content is branded, sponsored, or paid for, in accordance with applicable advertising and consumer protection standards.

If an exclusive arrangement is selected, Creator shall not promote, produce, or otherwise endorse competing products or services specified below for the exclusivity period without Brand's prior written consent.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period below. Termination without cause requires payment of the kill fee described herein.

9. Intellectual Property Ownership

Ownership of intellectual property created in the performance of this Agreement shall be allocated as set forth below. Nothing grants either party rights to pre-existing intellectual property of the other except as expressly set out in writing.

Each party shall protect Confidential Information of the other party with at least the same degree of care it uses to protect its own confidential information, and shall not disclose such information except as required by law or with prior written consent.

11. Representations, Warranties & Indemnification

Each party represents that it has the right to enter into this Agreement and that performance will not violate any agreement with a third party. Agency warrants Deliverables will be original and not infringe third-party rights. Each party shall indemnify the other against losses arising from breach of the foregoing representations or from claims related to their own materials or conduct.

12. Miscellaneous

Governing Law: The parties agree to submit to the exclusive jurisdiction of the courts specified below for resolution of disputes, subject to any arbitration agreement set forth by mutual written consent.
