APPROVALS & CHANGE ORDERS

CONFIDENTIALITY & DATA PROTECTION

Each party will maintain the other's Confidential Information in confidence and will not disclose such information except as permitted herein. Data Processing: Where personal data is processed, parties shall implement appropriate technical and organizational measures to protect such data in accordance with applicable law.

WARRANTIES, INDEMNIFICATION & LIMITATION OF LIABILITY

Agency warrants that Deliverables will be original and will not infringe third-party intellectual property rights. Brand warrants it has rights to use any materials provided to Agency. Each party shall indemnify the other against third-party claims arising from its breach of representations, willful misconduct, or negligence.

TERMINATION

Either party may terminate this Guide for material breach if the breaching party fails to cure within days after written notice. Either party may terminate for convenience with days' prior written notice; termination for convenience may trigger the Kill Fee set forth above.

MISCELLANEOUS

Notices shall be sent to the contact information set forth above. This Guide constitutes the entire agreement between the parties regarding the subject matter herein and supersedes prior agreements relating to the campaign. Any amendment must be in writing and signed by both parties.
