Representations, Warranties & Indemnification

Each party represents and warrants that it has full right, power and authority to enter this Agreement, and that performance will not violate any agreement with a third party. Creator warrants that Deliverables will not infringe third-party intellectual property rights and that all necessary releases (talent, location, music) will be obtained.

Confidentiality

All non-public information received in connection with this Agreement shall be used solely for performance of the Deliverables and shall not be disclosed except to representatives who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

Limitation of Liability & Remedies

Except for breach of intellectual property or confidentiality obligations and claims arising from willful misconduct, neither party shall be liable to the other for consequential, incidental, punitive or special damages. Brand's sole remedy for Creator non-performance will be limited to re-performance or a refund of fees paid for the affected Deliverable.
