Compensation & Payment

Brand will pay Agency the Total Campaign Fee described below in accordance with the Payment Schedule. All amounts are payable in the currency specified below. Unless otherwise set forth, invoices are due net 30 days.

Reimbursable Expenses: Agency may incur pre-approved third-party expenses. Pre-approval required in writing. Expense cap (if any):

Usage Rights & Intellectual Property

Agency hereby grants Brand a non-exclusive, worldwide, transferable license to use, reproduce, distribute, publicly display, and create derivative works of the Final Deliverables solely for the Purpose described in this IO, for the Term specified below, subject to the Payment terms and any usage limitations set forth herein.

Agency retains ownership of pre-existing background materials and any underlying proprietary tools, methodologies, or raw footage not specifically delivered or assigned under this IO. Unless otherwise checked below, ownership of Final Deliverables created specifically for Brand will be assigned to Brand upon full payment.

Assign all rights in Final Deliverables to Brand upon final payment.

FTC Disclosure Compliance

Both parties acknowledge that all sponsored content, endorsements, or advertising created under this IO must include clear and conspicuous disclosures as required by applicable advertising and consumer protection laws. Agency will ensure disclosures are presented in a manner reasonably calculated to be noticed and understood by the intended audience.

Brand and Agency acknowledge and will comply with required disclosure obligations for sponsored content.

Exclusivity

Exclusivity may be granted for the Term in defined categories or channels only as expressly set forth below. If exclusivity is granted, Brand will pay the agreed exclusivity fee and Agency will not perform competing campaigns for direct competitors in the specified scope during the Term.

Termination & Kill Fee

Either party may terminate this IO for convenience upon written notice to the other party. Termination will be effective as set out below and will be subject to the Kill Fee provisions stated in this section.

Approval, Revisions & Acceptance

Brand will provide approvals or consolidated feedback within the number of calendar days specified below for each submission. Agency will provide up to the number of revision rounds set forth below at no additional charge; additional revisions will be billed at the rate set forth in the Payment Schedule.

Indemnification & Representations

Each party represents and warrants that it has the full right and authority to enter into this IO. Agency warrants that Final Deliverables will not infringe third party intellectual property rights and will comply with applicable laws. Agency will indemnify and hold Brand harmless from third-party claims arising from Agency's breach of such warranty, except to the extent caused by Brand-supplied materials or direction.

Confidentiality

Each party will keep confidential non-public business information of the other party disclosed in connection with this IO and will not use such information except as necessary to perform obligations under this IO. Confidentiality obligations survive termination for a period of two (2) years unless otherwise agreed.

Reporting & Metrics

Agency will provide campaign performance reports at the frequency specified below and will provide reasonable access to account-level metrics and creative performance data for the Term.

This IO will be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles. Any dispute arising from this IO will be resolved in accordance with the dispute resolution provisions set forth herein.
