This Marketing Campaign Launch Agreement (the "Agreement") is entered into between:

The Brand desires to engage the Agency to develop, produce, and deliver marketing assets and services described in this Agreement for the Campaign defined below. The Agency represents that it has the expertise and resources required to perform the services in accordance with the terms and schedules set forth herein.

Deliverables

The Agency shall provide the following deliverables in accordance with the specifications, quantities and deadlines set forth below. Time is of the essence for all milestone deadlines.

Compensation & Payment

In consideration for the Agency's services, the Brand shall pay the Agency the fees set forth below in accordance with the schedule identified. Unless otherwise stated, amounts are stated in U.S. dollars.

All invoices are due within days of receipt. Late payments shall accrue interest at the lesser of 1.5% per month or the highest lawful rate.

Usage Rights & IP

Subject to full payment, the Agency grants the Brand a non-exclusive / exclusive (select below) license to use the final deliverables as set forth herein. Pre-existing materials and third-party assets remain the property of their respective owners unless otherwise assigned in writing.

FTC Disclosure & Compliance

The Agency shall ensure all sponsored posts, endorsements, or influencer content comply with applicable advertising and disclosure laws and regulations. All promotional content must include clear, conspicuous disclosure of the material connection between the Brand and any influencer or creator consistent with such obligations.

Exclusivity

Unless an exclusive engagement is selected above, the Agency may perform services for other clients, provided such services do not use the Brand's confidential information or materially impair the Campaign. If exclusive services are required, indicate below and describe the scope and duration.

Either party may terminate this Agreement for convenience upon written notice to the other party as specified below. Termination for cause may be immediate where a material breach remains uncured after notice and cure period.

Confidentiality, Warranties & Indemnities

Each party agrees to maintain the confidentiality of the other party's confidential information. The Agency warrants that deliverables will not infringe third-party rights and that it has obtained all necessary rights for included third-party materials. The Agency shall indemnify and hold harmless the Brand from claims arising from Agency's breach of these warranties.

Limitation of Liability & Governing Law

Except for breach of confidentiality or willful misconduct, neither party will be liable to the other for consequential, incidental, punitive or special damages. The parties agree that the laws of the governing jurisdiction identified below will govern any dispute arising under this Agreement.

Miscellaneous

This Agreement, including all exhibits and SOWs incorporated by reference, constitutes the entire agreement between the parties with respect to the Campaign and supersedes prior agreements. Amendments must be in writing and signed by both parties.
